Communications addressed to individual Board members, the chair of a board committee or the non-employee directors as a group and clearly marked as stockholder communications will be forwarded by the Corporate Secretary, unopened, to the individual addressees. Other communications will be forwarded to a director designated by the board to determine whether such communications relate to the directors’ duties and responsibilities and, if so, he will forward them to the addressees. Communications that appear to be unduly hostile, intimidating, threatening, illegal or similarly inappropriate will be screened by the designated director for omission. Any omitted or deleted communication will be made available to any director upon request.
